TripAdvisor Rentals - Certificate of Excellence Terms and Conditions

What is the TripAdvisor Rentals Certificate of Excellence?
Launched in 2017, the TripAdvisor Rentals Certificate of Excellence honours rental properties (“Properties”) that have reached and maintained certain specific standards.  For example, Properties that have consistently achieved great reviews and whose owners or managers (“Owners”) have continually demonstrated a responsive, customer-focused approach. 
If a Property meets the qualifications, it will receive the Certificate of Excellence on the next date on which we review eligibility to make the awards (the “Review Date”).  The first Review Date is 31 March 2017, and on subsequent dates to be determined and announced in due course. 
Notwithstanding the above, TripAdvisor Rentals* does not endorse any Property, nor guarantee or control the quality, safety, suitability, or conduct of any Property or Owner, regardless of whether or not a Property has been awarded a Certificate of Excellence.  If a Property qualifies to receive a Certificate of Excellence, this means it has met our performance standards, which are assessed objectively.  Owners remain entirely and solely responsible for complying with applicable laws and for all other obligations under our Owner Terms of Use.
TripAdvisor Rentals may terminate the Certificate of Excellence program at any time for any reason.
 
*TripAdvisor Rentals (“we”, “our”, “us”) means one or more of the following companies in the TripAdvisor group that offers an advertising service to Owners, and that facilitates bookings between prospective travellers and Owners: FlipKey Inc., Holiday Lettings Limited, or Guía de apartamentos Niumba S. L. U. 
 


Which Properties are eligible to receive a Certificate of Excellence?
In order to be eligible, a Property must be the subject of an “Eligible Listing”, which means that on the Review Date it must be:

  • listed by an Owner on one or more of the following websites (including related domains): flipkey.com, holidaylettings.co.uk, niumba.com, housetrip.com, vacationhomerentals.com, and tripadvisor.com (each, a “TripAdvisor Rental Site” and collectively, the “TripAdvisor Rental Sites”); and

  • bookable online using the TripAdvisor Rentals Sites’ online payment platform.

 
In addition, the Owner must advertise the Property with us on a ‘Free to List’ basis, meaning that the Owner must conduct all business (including communicating with travellers and accepting bookings) through the TripAdvisor Rental Sites.  If we determine that any Owner has more than one TripAdvisor Rentals account (“Account”), we reserve the right to merge the Accounts.  No Owner is permitted to have more than one Account.
 


What are the qualifying standards to be met to receive a Certificate of Excellence?
Each Certificate of Excellence is awarded when a Property reaches certain objective qualifying standards (the “Standards”).  Some of the Standards apply solely to the single Property in question, and others apply more broadly to all of the Properties that may be listed within the Owner’s Account (the “Account Properties”) on the Review Date, or that have been listed within the Owner’s Account at any time within the twelve (12) months preceding the Review Date.
All of the following Standards need to be met on the Review Date in order for a Property to receive a Certificate of Excellence:

Response Rate: the percentage of the 20 most recent traveller-initiated enquiries or booking requests that are responded to by the Owner within 24 hours.

This is the published Response Rate in respect of the Account.
 

Acceptance Rate: the percentage of traveller booking requests that the Owner has accepted (including responding by editing such requests) in the preceding 24 months.
 

90%+

This is the published Acceptance Rate in respect of the Account.
 

Completed Stays: the total number of completed stays (on a per-booking basis).

3+

The total number of stays will be aggregated across all Account Properties.
 

Bookings made over the preceding 12 months: the total number of bookings confirmed by the Owner (and not subsequently cancelled).

The total number of confirmed bookings will be aggregated across all Account Properties.

*Note that we reserve the right to make occasional allowances where there are unforeseeable and/or extenuating circumstances (assessed in our sole discretion) that may have caused the Owner’s cancellation.
 
 

Review Score: this refers to the Property’s TripAdvisor bubble rating.  The bubble rating is a summary of the ratings that travellers give to a Property when they review it.

  1. The average review score (as published) for the Property must be at least 4; and

  2. The average review score for the Property over the preceding 12 months (as calculated by us) must be at least 4.

 

 
How can Owners promote a Certificate of Excellence?
If a Property qualifies for a Certificate of Excellence, we will notify the Property’s Owner soon after the applicable Review Date.  Such Owner will automatically receive a Certificate of Excellence badge on the applicable Property listing on the TripAdvisor Rentals Sites on which the Property is listed, as well as access to an exclusive Certificate of Excellence widget.
The Owner will be permitted to promote the fact that its Property has a Certificate of Excellence in accordance with these Terms and Conditions (and any other instructions that TripAdvisor Rentals may give from time to time) and solely for the period during which such Property holds the Certificate of Excellence.  The Certificate of Excellence may be used only by the Owner whose Property qualifies to receive it, and only to promote the short-term rental of such Property.  For the avoidance of doubt, it is strictly prohibited to use the Certificate of Excellence to promote any property or business (including but not limited to other properties that the Owner may own, manage or otherwise advertise) other than the Property in respect of which it is awarded. 
 


Indemnity
Each Owner agrees to defend and indemnify TripAdvisor Rentals, TripAdvisor LLC and all subsidiary and affiliate companies and any of their officers, directors, employees and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, arising as a result of its breach of these Terms and Conditions or the documents referenced herein; or of its violation of any law or the rights of any third party.
 


Termination
We reserve the right to review the continuing eligibility of Properties to hold a Certificate of Excellence at any time between Review Dates, and to revoke the award of any Certificate of Excellence if a Property no longer meets any one or more of the Standards, or where there has otherwise been a breach by an Owner of these Terms and Conditions, the Owner Terms of Use or any other terms and conditions that may apply.  A Certificate of Excellence, and an Owner’s right to use a Certificate of Excellence in connection with the Property for which it has been awarded, may be suspended or terminated by us with immediate effect if:

  • any of the Standards cease to be met;

  • such Owner ceases to advertise the certificated Property with us;

  • we become aware of one or more serious complaints about any of the Owner’s Account Properties or the advertising thereof (assessed in our sole discretion);

  • the Owner breaches any of the Owner Terms of Use or these Terms and Conditions;

  • the listing of the Property or the Owner’s Account is suspended or terminated; or

  • the Property undergoes a change of ownership.

THE CERTIFICATE OF EXCELLENCE AND ANY OTHER MATERIALS AND BENEFITS ARE PROVIDED BY TRIPADVISOR RENTALS "AS IS", WITHOUT WARRANTY OF ANY KIND. TRIPADVISOR RENTALS, TRIPADVISOR LLC AND ALL OF THEIR SUBSIDIARIES AND AFFILIATES HEREBY DISCLAIM ALL LIABILITIES AND WARRANTIES INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT.  
THE CERTIFICATE OF EXCELLENCE IS IN NO WAY AN ENDORSEMENT BY TRIPADVISOR RENTALS (OR ANY SUBSIDIARY OR AFFILIATE THEREOF, INCLUDING TRIPADVISOR LLC) OF ANY PROPERTY OR ANY OWNER.
 


Limitation of Liability
TRIPADVISOR RENTALS (TOGETHER WITH ITS SUBSIDIARIES AND AFFILIATES, INCLUDING TRIPADVISOR LLC) SHALL NOT UNDER ANY CIRCUMSTANCES BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL LOSSES OR DAMAGES OR ANY LOSS OF INCOME, PROFITS, GOODWILL, DATA, CONTRACTS, USE OF MONEY, OR LOSS OR DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS AND CONDITIONS OR THE CERTIFICATE OF EXCELLENCE PROGRAM.
 


Severability
If any part of these Terms and Conditions is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remaining provisions in the Terms and Conditions shall continue in effect.
 


Updates to these Terms and Conditions
We may update and/or replace these Terms and Conditions at any time without prior notice. If we modify these Terms and Conditions, we will post the modification on the TripAdvisor Rentals site(s), which are effective upon posting.  Continued use of TripAdvisor Rentals after we have posted a modification equates to an agreement to be bound by the updated Terms and Conditions. If the modified terms are not acceptable to any Owner, the only recourse is to stop using our services.
We may also entirely discontinue the Certificate of Excellence program at any time, with or without notice.
